Terms of Service & B2B Agreement
Effective Date: 1 January 2026 | iYourLand™ Bespoke OEM Manufacturing
Welcome to iYourLand™ (the "Site"). This website is owned and operated by Guangzhou Wangsheng Technology Co., Ltd. ("Company", "we", "us", or "our"). By accessing this Site, utilising our secure IP upload portals, or submitting commercial purchase orders, you ("Client", "Buyer", or "User") agree to be bound by the following Terms of Service ("Terms").
1. B2B Commercial Scope
iYourLand™ operates exclusively as a Business-to-Business (B2B) Original Equipment Manufacturer (OEM). The services provided, including but not limited to 3D CAD engineering, CNC tooling, zinc alloy casting, and bulk wholesale distribution, are intended strictly for commercial enterprises. We do not engage in direct-to-consumer (B2C) single-unit retail sales outside of our defined wholesale catalogues.
2. Intellectual Property & Corporate NDA
We maintain a strict IP Quarantine Protocol to protect our clients' proprietary designs.
- Client IP Ownership: Any CAD files, blueprints, or design materials submitted by the Client remain the sole and exclusive intellectual property of the Client.
- Manufacturing Exclusivity: We guarantee that bespoke moulds engineered for a specific Client will never be used to manufacture items for third-party buyers.
- Non-Disclosure: We will not display, market, or sell the Client's custom prototypes or production overruns in our public catalogues without explicit written authorisation.
3. Bespoke OEM Prototyping & Tooling Fees
The initiation of a custom OEM project requires the payment of a non-refundable Engineering Tooling & Mould Fee (starting at $180 USD, varying by project complexity and size of the item). This fee covers the cost of CNC programming, metal mould casting, and the creation of one (1) physical pre-production sample.
Because bespoke moulds are permanently etched with the Client's exact specifications and cannot be repurposed, this initial tooling fee is strictly non-refundable once the physical machining process has commenced.
4. Payment Terms & Commercial Invoicing
To ensure global financial security, all commercial transactions are processed through our enterprise banking partner, Airwallex.
- Production Deposits: Upon approval of the physical pre-production sample, a standard 40% deposit is required to activate mass production.
- Final Balances: The remaining 60% balance, plus calculated international logistics freight (DHL/UPS/FedEx), must be cleared prior to the global dispatch of the final goods.
- Accepted Currencies: We accept USD, EUR, GBP, AUD, CAD, CNY, JPY, and other major currencies as supported by our gateway.
- Implied Digital Signature Consent: Pursuant to the United States Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act (UETA), the act of transmitting production files, processing an invoice payment, or issuing a mass production deposit constitutes your binding digital signature. By making a payment, you legally declare that you have read, understood, and agreed to be bound by our strict manufacturing lead times, EXW tax terms, and non-refundable B2B production policies. This digital record serves as absolute evidentiary proof in any merchant network dispute or chargeback mitigation.
5. Production Tolerances & Quality Assurance
iYourLand™ executes dynamic quality control (QC) throughout the manufacturing lifecycle. We guarantee that all mass-produced hardware will match the material specifications and structural integrity of the approved pre-production sample. Minor variances inherent to high-tonnage industrial die-casting and manual polishing (within standard engineering tolerances) do not constitute a defect.
All finished goods include a 1-Year Structural Guarantee against critical mechanical failure under standard daily use.
6. Limitation of Liability
In no event shall Guangzhou Wangsheng Technology Co., Ltd. be liable for any indirect, incidental, consequential, or punitive damages arising out of the manufacturing timeline, global freight delays beyond our control, or the Client's ultimate retail distribution of the goods. Our maximum liability shall not exceed the total value of the specific purchase order in dispute.
7. Governing Law & Jurisdiction
These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the People's Republic of China, with jurisdiction located in Guangzhou, Guangdong.
